Creator terms of service

1. GENERAL ACCEPTANCE. In subscribing to the Creatable platform, as a creator ("Creator"), you agree to be bound by these terms and conditions of service (the “Terms of Service”). The Creatable platform, products, software, and applications are collectively referred to as “Service” in these Terms of Service, forming a binding agreement between you and Creatable.

2. ELIGIBILITY. Creatable is open to anyone who is sixteen (16) years of age or older (or of age required under applicable law) at the time of signing up. Eligibility to participate in any Brand Creator Programs or Creator Campaigns may be subject to additional eligibility criteria applicable to such programs or campaigns, as further outlined below.

3. LICENSE & USE OF SERVICE. You are hereby granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms for so long as you are authorized by Creatable to use the Service. The Service, including trademarks, service marks and logos are all owned by or licensed to Creatable, and/or subject to copyright and other intellectual property rights under law. By using the Service, you are granted a non-exclusive, revocable, and limited license to use the Creatable trademark, logos and related marks (“Creatable Marks”) solely as used within and as part of the Service.

4. BRAND CREATOR PROGRAMS & CAMPAIGNS. Brands may sponsor or make available creator programs through the Creatable platform (“Brand Creator Programs”), and Creatable may make Creators eligible for, or invite Creators to participate in, such Brand Creator Programs. Creatable may also make available creator campaigns sponsored by a Brand (“Creator Campaigns”) and invite eligible Creators to participate.

Brand Creator Programs and Creator Campaigns may include additional campaign briefs, requirements, deliverables, compensation terms, content guidelines or other terms presented to you through the Creatable platform, or by the Creatable team, which shall apply in addition to these Terms of Service upon your acceptance or participation.

Your participation in any Brand Creator Program or Creator Campaign is administered through Creatable and the Creatable platform. Any applicable campaign requirements, submissions and other communications relating to your participation may be provided or administered by Creatable through the Service, including requirements established in connection with the applicable Brand Creator Program or Creator Campaign, which may include any custom contract, as applicable.

Participation in a Brand Creator Program or Creator Campaign does not, by itself, create an employment, agency, partnership or joint venture relationship between you and the applicable Brand. Any relationship you may separately have with a Brand is independent of your participation through Creatable and does not alter these Terms or your obligations in connection with the Service.

A Brand Creator Program or Creator Campaign may offer commissions, fees, incentives, products or other compensation in connection with promoting the Brand or particular products or services offered by the Brand.

‍5. DISCLOSURE THAT YOU ARE GETTING PAID. In all posts and communications made by you in connection with any Brand Creator Program or Creator Campaign, you will ensure to communicate to your audience and all recipients of such posts and communications that you may receive compensation resulting from such posts and communications. Creator agrees to refrain from removing or deleting any social media post made in accordance with any of the foregoing for a period of at least 90 days from the original post date.

6. PAYMENT. You may be entitled to payment through Creatable for participation in a Creator Campaign and/or Brand Creator Program, subject to satisfying the applicable campaign or program requirements presented through the Service. Unless otherwise expressly stated in the applicable campaign or program terms or otherwise, compensation payable for your participation will be administered by Creatable through the Creatable platform.

To receive payment through the Creatable platform, you must provide all information required in your account and comply with Creatable's applicable payment procedures. Payment through Creatable in connection with a Brand Creator Program or Creator Campaign is separate from any compensation, wages, benefits or other amounts that you may receive from a Brand under any separate relationship you may have with that Brand.

‍7. CONFIDENTIALITY. In preparing for and contributing to a Creator Campaign or any Brand Creator Program, you may have access to information relating to the affairs of the Brand and/or Creatable and acknowledge and agree that all such information, unless it is already available to the general public without restriction, is the Brand and/or Creatable’s confidential and proprietary information ("Confidential Information") and cannot be disclosed other than as set forth in the Creator Campaign or Brand Creator Program.

8. USAGE RIGHTS. As part of any Creator Campaign or Brand Creator Program, usage rights that you grant for the Brand to make use of your content may be set forth by the Brand and agreed to by you in a campaign brief, program terms, or otherwise. In the absence of any such terms to the contrary, you hereby grant the Brand and Creatable the rights to use your content on their owned properties, social properties, email and retail channels (including their website and any retail site in which the products promoted by the content in question are sold), whether organically or paid. All such usage shall be strictly in accordance with the spirit of highlighting and marketing the Brand, products and/or services associated with such campaign or program. Unless you specifically grant additional rights to the Brand, no rights are granted to use your Campaign or Program content, likeness, name or any of your other content in any other manner whatsoever.

9. INDEPENDENT CONTRACTOR RELATIONSHIP. Your relationship with Creatable in connection with your participation in the Service and any Brand Creator Program or Creator Campaign is that of an independent contractor. Nothing in these Terms, your use of the Service, or your participation in any Brand Creator Program or Creator Campaign is intended to create or shall be construed as creating an employer-employee relationship, agency, partnership or joint venture between you and Creatable.

As an independent contractor, you independently determine whether to participate in any Brand Creator Program or Creator Campaign made available to you and, subject to the applicable campaign or program requirements, control the manner, means, time and place by which you create and perform your services. You are not entitled to wages, employee benefits or other rights or benefits provided by Creatable to its employees solely as a result of your participation in the Service, a Brand Creator Program or a Creator Campaign.

Your participation through Creatable also does not create an employment, independent contractor, agency, partnership, joint venture or other service relationship between you and any Brand or other third party. Any relationship you may separately have with a Brand or other third party is independent of your participation through Creatable and does not alter these Terms or your obligations in connection with the Service.

You are responsible for ensuring that your participation in the Service does not violate any obligations applicable to you under any separate employment, contractual or other relationship. Any such separate relationship does not modify these Terms or the requirements applicable to your participation through Creatable.
